Terms of Service
These terms are an agreement between you and BidWriter Pro LLC, a Texas limited liability company ("BidWriter Pro," "we," "us"). By creating an account or using getbidwriterpro.com and its related services (the "Service"), you agree to them. If you use the Service on behalf of a business, you confirm you can bind that business.
1. What the Service is
BidWriter Pro helps contractors turn job notes into written proposals, send them to customers, collect electronic signatures, and optionally collect deposits. We provide the tool. You are responsible for the content of every proposal you send, including scope, pricing, terms, warranties, licensing, and compliance with laws that apply to your trade and location.
We are not a party to any agreement between you and your customers. A proposal accepted through the Service is a contract between you and your customer, not with us.
2. Accounts
You must provide accurate information and keep your login secure. You are responsible for activity under your account. You must be at least 18 and able to enter contracts. One account is for one business.
3. Subscription, trial, and billing
New accounts get a 30 day free trial with no payment method required. When it ends, writing new proposals pauses until you subscribe. Proposals you already sent, their signing links, and their payment links keep working. A subscription is billed in advance at the price shown at checkout: currently $29 every month, or $290 once a year. Prices may change with at least 30 days' notice; changes apply at your next billing cycle.
You can cancel anytime from the app. Cancellation stops future charges; the current billing period is not refunded, and you keep full access through the end of that period. This applies to the annual plan too: cancelling stops the renewal, and the rest of the year is not refunded. After that, your proposals and records stay available, and only writing new proposals stops. Subscription payments are processed by Stripe and subject to Stripe's terms.
4. Electronic signatures
The Service lets your customer accept a proposal by typing their name and clicking Accept. We record the typed name, an optional signature drawn with a finger, the date and time, any package and extras the customer chose, and the proposal content as it appeared. This is intended to create a binding electronic signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act as adopted in Texas and other states. Whether a particular contract is enforceable depends on its content and your jurisdiction, and we make no promise about the outcome of any dispute. Consult a lawyer for questions about your contracts.
5. Deposits and payouts
If you enable payouts, your customers' deposits and balance payments are paid by card only (including Apple Pay and Google Pay), processed by Stripe, and paid to the bank account you connect through Stripe Connect. From each card payment we deduct card processing of 2.9% plus 30 cents and a 1% platform fee, and you receive the rest. These fees are not returned when a payment is refunded. Payout timing is set by Stripe; the first payout usually takes longer than later ones. If a customer disputes a card payment, the disputed amount is taken back from your Stripe balance, or from your connected bank account if the balance is short, while the card company reviews it, and it is returned to you if the dispute is decided in your favor. You can refund a customer's card payment from your own Stripe dashboard, or email support@getbidwriterpro.com from the address on your account and we will help. If you collect payments yourself instead (cash, check, Venmo, Zelle), the Service only records what you tell it, and no money passes through us or Stripe. You agree to the Stripe Connected Account Agreement. You are the merchant of record for your customers: refunds, disputes, chargebacks, sales tax, and any legal obligations relating to the work belong to you. We may pass through or deduct amounts needed to cover refunds, chargebacks, or fees on your transactions.
6. Your content
You own your proposals, customer information, and company profile. You grant us the rights needed to store, process, display, and transmit that content to operate the Service (for example, to send a proposal to your customer, or to produce a PDF). We do not sell your content or use it to train models.
The Service formats and cleans up the notes you provide. You are responsible for reviewing every proposal before sending it. We do not guarantee that cleaned-up text is complete, accurate, or suitable for any purpose.
7. Acceptable use
Do not use the Service to send unsolicited messages, misrepresent who you are, collect payment for work you don't intend to perform, infringe anyone's rights, upload malicious code, or attempt to access other accounts or our systems. Do not resell the Service. We may suspend or terminate accounts that violate these terms or expose us or others to risk.
8. Customer communications
When you send a proposal or reminder by email, the message is sent by us on your behalf and shows your business name. When you use "Text it," the message is sent from your own phone and is subject to your carrier's terms. You confirm you have the right to contact the customers you send proposals to.
9. Availability and changes
We work to keep the Service available but do not guarantee uninterrupted operation. We may change, add, or remove features. If we discontinue the Service, we will give reasonable notice and a way to export your data.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not provide legal, tax, or financial advice.
11. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.
12. Indemnity
You will defend and hold us harmless from claims arising out of your proposals, your work, your dealings with customers, or your breach of these terms.
13. Termination
You may close your account anytime by emailing support@getbidwriterpro.com from the address on the account. We may suspend or terminate accounts for violations of these terms. Sections that by their nature should survive termination (including 5, 6, 10, 11, 12, and 14) will survive.
14. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction. Before filing a claim, each side agrees to try to resolve the dispute informally by contacting the other.
15. Changes to these terms
We may update these terms. If a change is material, we will notify you by email or in the app at least 14 days before it takes effect. Continued use after that date means you accept the new terms.
